1. Agreement and eligibility
These Terms of Use and End User License Agreement (“Terms”) are a binding agreement between you and Sam Bruneau Productions (“we,” “us,” or “our”) covering the MicQ macOS application, related updates, documentation, support, and the website at trymicq.com (together, “MicQ”).
By purchasing, downloading, installing, activating, or using MicQ, you agree to these Terms and the Privacy Policy. If you use MicQ for a church, employer, or other organization, you represent that you have authority to accept these Terms for that organization; “you” then includes that organization. If you do not agree, do not install or use MicQ and, if eligible, request a refund under the Refund Policy.
You must be legally able to enter a contract where you live. MicQ is intended to be configured by adults acting for an organization, not by children.
2. Purchase, payment, and delivery
Lemon Squeezy acts as merchant of record for MicQ. Checkout, payment, tax calculation, receipts, and payment-related disputes are also governed by Lemon Squeezy’s Buyer Terms. Prices and any applicable taxes are shown at checkout before you purchase.
MicQ is delivered digitally. You are responsible for providing an accurate email address and safeguarding the receipt and license key sent to it. A license key is not a stored-value instrument and may not be resold or published.
3. Your MicQ license
Subject to these Terms and payment of the purchase price, Sam Bruneau Productions grants the purchaser a limited, non-exclusive, revocable, non-sublicensable license to install and use MicQ for the purchaser’s own internal purposes.
The standard MicQ license may be activated on up to three Macs at the same time, all owned or controlled by the same purchaser or purchasing organization. Staff and volunteers may operate those activated copies for that organization. You may move an activation to another Mac using MicQ’s deactivation control. The activation limit is not permission to share a key among unrelated people or organizations.
Your receipt and the product description shown at checkout form part of the license. If a future edition or separately priced option states a different activation limit or term, the terms shown for that purchase control for that edition or option.
4. License restrictions
You may not, and may not help someone else to:
- sell, rent, lease, sublicense, publish, or share MicQ or a license key with an unrelated person or organization;
- circumvent license activation, access controls, signature checks, or technical limits;
- copy, modify, translate, reverse engineer, decompile, or disassemble MicQ, except to the limited extent applicable law expressly permits despite this restriction;
- remove or alter copyright, trademark, attribution, or other proprietary notices;
- use MicQ to violate law, provider terms, intellectual-property rights, privacy rights, or other rights; or
- use the website or update infrastructure to introduce malware, disrupt service, scrape at unreasonable volume, or attempt unauthorized access.
5. Your data, media, and responsibilities
You retain your rights in names, rosters, plans, photographs, videos, local files, layouts, and other content you use with MicQ (“Your Content”). These Terms do not give us ownership of Your Content.
You are responsible for:
- having authority to connect each Planning Center or Google account and to access the selected services, folders, and files;
- obtaining any permissions or notices needed to display or otherwise use a person’s name, image, video, role, or assignment, including for minors;
- ensuring Your Content and your use of MicQ comply with applicable law and your organization’s policies;
- protecting the Mac, connected accounts, credentials, license key, and any exported logs or profiles;
- maintaining backups of important local plans and source media; and
- checking the live display before and during use and keeping an appropriate operational fallback.
MicQ is a display and workflow tool. It is not a system of record, emergency service, or substitute for your organization’s access controls, consent process, safeguarding policy, or live-service judgment.
6. Third-party services
MicQ can connect to Planning Center, Google Drive, Lemon Squeezy, GitHub, and other services you choose. Those services are provided under their own terms and privacy policies. You are responsible for maintaining any provider account and permissions required for a feature.
We do not control and cannot guarantee a third party’s availability, data, authentication decisions, API behavior, or continued compatibility. A provider may change, restrict, or discontinue its service. We may adapt MicQ when reasonably practical, but we do not promise that every third-party integration will remain available forever.
MicQ is an independent product. Planning Center, Google, Lemon Squeezy, GitHub, Apple, and their respective marks belong to their owners, and no endorsement or partnership is implied unless expressly stated.
7. Updates, compatibility, and support
MicQ may check for, download, and offer signed updates. Updates install when you restart or deliberately choose to restart; MicQ is designed not to restart itself during a live session. An update may add, change, or remove features when reasonably needed for security, reliability, provider compatibility, legal compliance, or product development.
A purchase includes the updates we make available for that licensed edition, but does not promise that updates, support, every integration, or compatibility with future macOS or third-party-service versions will continue indefinitely. The supported macOS versions shown on the product page at the time of download apply.
Support is available at info@sambruneau.com. We will make reasonable efforts to help, but do not guarantee a response or resolution within a particular time.
8. Ownership and feedback
MicQ, including its software, site, interface, branding, documentation, and updates, is licensed rather than sold. Sam Bruneau Productions and its licensors retain all rights not expressly granted in these Terms.
If you voluntarily send ideas or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use, adapt, and incorporate that feedback without restriction or payment. This does not transfer ownership of Your Content or confidential material you identify and provide for support.
9. Suspension and termination
You may end this agreement at any time by deactivating MicQ, ceasing use, and deleting your copies. We may suspend or terminate the license if you materially breach these Terms, use a fraudulent or refunded purchase, share or bypass a license key, or if termination is required by law. Where the breach can reasonably be cured, we will ordinarily give you a reasonable opportunity to cure it first.
On termination, you must stop using MicQ and delete your copies. Sections that by their nature should survive—including restrictions, ownership, disclaimers, liability limits, and general terms—continue to apply. A valid refund terminates the refunded license. Termination does not erase rights or obligations that arose earlier.
10. Warranty disclaimer
MicQ is provided “as is” and “as available.” To the maximum extent permitted by law, Sam Bruneau Productions disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, and freedom from errors or harmful components.
We do not warrant that MicQ will meet every organization’s needs, that a display or integration will always be available, that provider data will be accurate, or that every defect can be corrected. Some jurisdictions do not allow certain warranty exclusions, so those exclusions apply only to the extent permitted. Any non-waivable legal guarantee remains in effect.
11. Limitation of liability
To the maximum extent permitted by law, Sam Bruneau Productions and its suppliers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages; loss of profits, revenue, goodwill, data, or use; service interruption; replacement-service costs; or claims arising from third-party services, even if advised that such loss was possible.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to MicQ or these Terms will not exceed the amount you actually paid for the MicQ license giving rise to the claim. These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability that applicable law does not allow us to exclude or limit, including liability for fraud, willful misconduct, or certain personal injury, or your non-waivable consumer rights.
12. General terms
Changes. We may update these Terms prospectively for new features, providers, legal requirements, or business practices. The current version and effective date will be posted here. If a change materially reduces rights attached to an existing paid license, it will not apply retroactively unless required by law or accepted by you.
Severability and waiver. If a provision is unenforceable, it will be enforced to the greatest lawful extent and the rest remains effective. A failure to enforce a provision is not a waiver.
Assignment. You may not assign these Terms or transfer a license to an unrelated person or organization without our written consent. You may move activations among Macs as Section 3 allows. We may assign these Terms as part of a reorganization, merger, acquisition, or sale of the MicQ business.
Entire agreement. These Terms, the Privacy Policy, Refund Policy, your receipt, and the product terms shown at checkout are the entire agreement about MicQ and replace prior discussions about that subject. Lemon Squeezy’s buyer terms separately govern the checkout transaction.
